Thank you for choosing Softshare. These Terms and Conditions govern your use of Softshare’s services. By accessing or using Softshare, you agree to comply with and be bound by these terms. If you do not agree with these terms, please refrain from using Softshare.

1. Account Registration and Use:

a. Eligibility:
By registering for Softshare, you confirm that you are eligible to form a legally binding contract and comply with these Terms and Conditions.

b. Account Security:
You are responsible for maintaining the security of your account credentials. Any activity occurring under your account is your responsibility.

c. User Conduct:
Users must abide by applicable laws and refrain from engaging in any activity that may harm Softshare or its users.

2. Service Access and Modifications:

a. Availability:
Softshare strives to ensure uninterrupted access to its services, but we may temporarily suspend access for maintenance or other reasons.

b. Modifications:
Softshare reserves the right to modify or discontinue any part of the services without notice. We are not liable for any consequences resulting from such modifications.

3. Intellectual Property:

a. Ownership:
Softshare and its licensors retain ownership of all intellectual property rights associated with the services. Users do not acquire any ownership rights.

b. Use of Softshare’s Brand:
Users may not use Softshare’s name, logo, or trademarks without explicit written permission.

4. User Content:

a. Content Ownership:
Users retain ownership of the content they upload to Softshare, but by uploading, users grant Softshare a non-exclusive, worldwide, royalty-free license to use, reproduce, and distribute the content.

b. Prohibited Content:
Users may not upload, post, or transmit content that violates applicable laws, infringes on intellectual property rights, or is harmful, offensive, or misleading.

5. Privacy:

a. Data Collection:
Softshare collects and uses personal information in accordance with its Privacy Policy. By using Softshare, you consent to the collection and use of your information.

b. Security:
Softshare employs reasonable security measures, but users are responsible for safeguarding their account information.

6. Termination:

a. Termination by Softshare:
Softshare reserves the right to terminate or suspend accounts for violations of these Terms and Conditions or for any other reason.

b. Termination by User:
Users can terminate their accounts by following the instructions provided on Softshare.

7. Limitation of Liability:

a. No Warranty:
Softshare provides its services “as is” without warranties. Users use Softshare at their own risk.

b. Limitation of Liability:
Softshare is not liable for any indirect, incidental, consequential, or punitive damages arising out of the use of its services.

8. Governing Law:
These Terms and Conditions are governed by the laws of the United States.

9. Fairshare Professional Network:

a. Introduction:

Fairshare is Softshare’s professional network, connecting members with skilled professionals for various services. The charges for Fairshare services are $60 per hour, billed by the minute.

b. Billing and Payment:

      i. Fairshare services are billed at a rate of $60 per hour, calculated and invoiced by the minute.

      ii. Members are responsible for the accurate and timely payment of Fairshare invoices.

      iii. All Fairshare charges are non-refundable.

c. Service Engagement:

      i. Members engaging Fairshare professionals agree to the specified hourly rate and understand that charges are incurred for the actual time the professional spends on the task.

      ii. Members must clearly communicate task requirements, scope, and any relevant details to professionals to ensure efficient use of time.

d. Dispute Resolution:

      i. In the event of a dispute regarding Fairshare services, members are encouraged to communicate in the first instance  with their Member Success Manager who will endeavor to resolve the issue. If it is found that the issue is unable to be resolved, the dispute will be esculated and the member will be asked to communicate directly with the professional originally assigned to the task.

      ii. Softshare acts as a facilitator and is not responsible for escalated disputes between members and professionals.

 e. Cancellation and No-Show Policy:

      i. Members are encouraged to communicate any cancellations or rescheduling requests to their Member Success Manager in a timely manner.

      ii. In the event of a no-show or last-minute cancellation, members may still be billed for the scheduled time.

f. Quality of Service:

      i. Softshare strives to maintain a high standard of service within the Fairshare network but does not guarantee the quality of work performed by professionals.

      ii. Members are encouraged to provide feedback on professionals to help maintain service quality.

g. Liability:

      i. Softshare is not liable for any disputes, losses, or damages arising from interactions between members and Fairshare professionals.

      ii. Members engage Fairshare professionals at their own risk.

h. Termination of Fairshare Services:

      i. Softshare reserves the right to terminate or modify Fairshare network services at its discretion.

      ii. Members will be notified of any changes to Fairshare network services.

i. Member Responsibility:

Members are responsible for understanding and abiding by the terms and conditions outlined in this section when using Fairshare network services.
